Articles of Incorporation



(Sections 5 and 329)





2.     The Company has no authorised shared capital, is to be carried on without pecuniary gain to its members, and any other profits or other accretions to the assets of the Company are to be used in furthering its undertaking.

The Company will be operated in a manner consistent with the following specific aims:


(1)  To take action throughout North America and the English-speaking, Dutch and Francophone Caribbean to raise awareness about persons with disabilities, their rights, their needs, their potential and their contribution, and to foster in the society the recognition of these rights as embodied in the Convention on the Rights of Persons with Disabilities

(2) To maintain, create and forge alliances and linkages between Disabled Peoples' International and its Regions, and between organizations of persons with disabilities in North America and the English-speaking, Dutch and Francophone Caribbean, and between persons with disabilities

(3)   To promote the right to full participation and equality, meaning the right of every person with a disability to share in the political and social development process of the community in which he lives and enjoy living conditions equal to those of other citizens, including an equal share in the improvement in standards of living resulting from social and economic development

(4)    To work in collaboration with national organizations in North America and the English-speaking, Dutch and Francophone Caribbean to improve the socio-economic well-being of persons with disabilities

(5)  To foster strong association with other regional and international constituted organizations that promote the social and economic interests of persons with disabilities

(6)  To support the development of national, regional and international awareness and solidarity on disability issues, and on any other matter which might impact on the welfare of persons with disabilities

(7)     To affiliate with other organization with similar aims and objects outside of St. John's, Antigua and Barbuda.

(8)    To purchase, take on lease or exchange, hire or otherwise acquire and hold, any real or personal estate, maintain and alter any of same for any one or more of the objects of the Company

(9)     To take any gift of property whether subject to any special trust, or not, for any one or more of the objects of the Company

(10) To hold or promote competitions of any description authorized by law which may be calculated to publicize the objects of the Company and to solicit the support of the public in the form of donations to enable the Company to attain its objects or to advertise or promote the sale of any publication issued by it or in which it is interested and to give prizes in connection with such competition or otherwise

(11) To procure the Company to be registered or recognized in any part of the world outside of Antigua and Barbuda

(12) To issue appeals, hold public fundraising events and take such other steps as may be required for the purpose of procuring contributions to the funds of the Organization in the shape of donations, subscriptions or otherwise

(13) To cooperate and enter into any agreement with any government authorities (supreme, municipal, local or otherwise) and/or non-governmental organization, and such government authorities or non-governmental organization any charges, contracts, decrees, rights, privileges and concessions which are conducive to the attainment of one or more of the objects of the Company

(14) To employ and remunerate such persons who may be required for the purpose of the work of the Company

(15) To sponsor and/or implement any project or programme in and by any of the member organizations of the Company

(16) To research or cause to be researched, the quantity and condition of life or issues relating to persons with disabilities, and to publish or cause to be published the findings of such research in countries of member organizations and in any other part of the world

(17) To make by-laws, rules, regulations as may from time to time be deemed necessary for carrying out the above purposes and for the proper administration of the objects of the Company

(18) The income and property of the Company, whenever derived, shall be applied solely towards the promotion of any of the objects of the Company as set forth in these Articles of Incorporation and no portion therefore shall be paid or transferred directly or indirectly by way of dividend, bonus or by way of profit to the members of the Company

(19) The Company shall have full power to exercise all or any of the powers conferred by these Articles in any part of the world.  Provided that the Company shall not support with its funds any object or endeavor to impose on or procure to be observed by its members or others any regulation, restriction or condition which if an object of the Company would make it a trade union or political party

(20) The territory in which the operations of the Company are to be conducted as set forth in the abovementioned paragraphs may be within Antigua and Barbuda or in any part of the world

(21) Nothing herein shall prevent the payment, in good faith, of reasonable and proper remuneration to any officer or servant of the Company, or to any member of the Company not prevent the payment of interest at a rate not exceeding such rate as shall at that time be the current lending rate on money lent, or the rent for premises demised or let, by any member to the Company; but so that no member of the Executive or governing body of the Company shall be appointed to any salaried office of the Company or any office of the Company paid by fees, and that no numeration or other benefit in money or money’s worth shall be given by the Company to any member of such Executive or governing body except by way of repayment for out-of-pocket expenses and interest at the rate aforesaid on money lent or reasonable and proper rent for premises demised or let to the Company, so, however, that the provision last mentioned shall not apply to any payment to any transportation, gas, electric lighting, water, cable, telephone, telecommunications or other service company of which a member of the Executive or governing body may be a member or any other company in which such member shall not hold more than one-hundredth part of the capital, and such member shall not be bound to account for any share of profits he may receive in respect of such payment

(22) No addition, alteration, or amendment shall be made to or in the regulations contained in the Articles of Incorporation for the time being in force, save by a special resolution under the Act

(23) The liability of the members is limited.

(24) Every member organization of the Company undertakes to contribute to the assets of the Company in the event of its being wound up while he is a member or within one year afterwards, for payment of the debts and liabilities of the Company contracted before the time at which he ceases to be a member and the costs, charges and expenses of winding up the same, and for the adjustment of the rights of the contributions among themselves, such amount as may be required, not exceeding one hundred United States Dollars (ECD $100.00)

(25) If upon winding up or dissolution of the Company there remains after the satisfaction of all its debts and liabilities any property whatsoever, the same shall not be paid or distributed among the members of the Company, but shall be given or transferred to some other institution or institutions having any other objects similar to any of the objects of the Company and which shall prohibit the distribution of its or their income and property among its or their members to an extent at least as great as is imposed on the Company under or by virtue of clause 14 hereof, such institution or institutions to be determined by the members of the Company at or before the time of dissolution or in default thereof by such Judge of the High Court of Antigua and Barbuda or of any other Court as may have or acquire jurisdiction in the matter, and if and so far as effect cannot be given to the aforesaid provisions then to some charitable object

(26) True accounts shall be kept of the sum of money received and expended by the Company and the matter in respect of which such receipts and expenditure take place and of the proper assets and liabilities of the Company, and subject to any reasonable restrictions as to the time and manner of inspecting the same that may be imposed in accordance with the regulations of the Company for the time being shall be open to inspection of the members.  Once at least in every year the accounts of the Company shall be examined and the correctness of the balance sheet ascertained by one or more properly qualified audit or auditors or firm or firms or auditors
